Partner Program Terms
The binding terms of the NovixAgent AI partner program: commission, payouts, demo sites, client access and suspension.
Last updated: October 26, 2026
These terms govern the NovixAgent AI partner program run by NOVIXAGENT ("we", "us" or "our"). They apply to the person or business that applies to the program or takes part in it ("you" or "the partner"). They sit beside our Terms of Service, Privacy Policy and Cookie Policy. By applying you agree to them; the application form in the dashboard records which revision you agreed to and when.
1. The two ways to take part
- Affiliate. You recommend NovixAgent AI with your own link in videos, reviews, newsletters and comparisons. You apply on the form of FirstPromoter, our commission platform, which the Partner Program page of our website links to, and you need no account with us. You are credited for customers who subscribe after following your link (section 4).
- Installer partner. You hold an account with us and apply in the Partners section of the dashboard. Once approved, you may start demo sites to show prospects, invite clients to sites you prepare for them, set the assistant up for a client as the client's helper, and be credited for clients who accept your invitation and pay (section 5).
Sections 2, 3, 4 and 6 to 10 apply to both ways unless they say otherwise.
2. Applying, approval and standing
- Approval is manual. We review each application by hand and decide whether to approve it. We may reject an application, and the reason we give is one of the codes the dashboard shows. An installer applicant who is not approved may apply again once the waiting period shown in the dashboard has passed.
- What you write must be true. What you tell us about your clients, and the website you give if you give one, are claims that we look at, not facts we have proved. We may reject an application, or suspend a partner, whose application was misleading.
- Two-factor authentication. An installer applicant turns on two-factor authentication for the applicant's own account before applying, and an installer partner keeps it turned on. An application from an account without it is refused, and it is checked again when the application is approved and each time the partner opens a client's account.
- Official partner. While your status is approved, you may describe yourself as an official NovixAgent AI partner. When your application is rejected, you are suspended or the program ends for you, you stop doing so and stop using our name and logos as a partner.
- You are independent. You are not our employee, agent or representative, and you have no authority to bind us or to promise features, prices or availability in our name.
- Projects are not guaranteed. We do not guarantee that you will receive clients, leads, referrals, projects or a minimum income, that a client you invite will accept or pay, or that the program stays open.
- Our own staff cannot take part. A person whose account has access to our staff console cannot apply or take part in either way, and the dashboard refuses such an application.
3. Commission
3.1 Rates
Commission is paid at the rate of your tier. An approved partner starts at Bronze.
| Tier | First 12 months | Months 13 to 24 | How you reach it |
|---|---|---|---|
| Bronze | 30% | 10% | The tier you start at once approved |
| Silver | 35% | 10% | From 5 active clients (section 3.4) |
| Gold | 40% | 10% | From 20 active clients (section 3.4) |
3.2 What commission is paid on
Commission is paid on the price a referred customer pays for a plan: the subscription itself, after discounts and without sales tax, VAT or a similar tax. It is not paid on add-ons or extension packs, on usage-based charges or AI spend, on implementation or other services, or on contract plans agreed with us individually.
FirstPromoter calculates commission from the invoices it reads in our Stripe account, using the settings we give it. If it credits more than this section allows, or credits a sale that section 3.6 excludes, we may correct the commission, including against a later payout.
3.3 How long commission lasts
Commission runs from the customer's first successful payment of an amount above zero for an eligible plan. For the 12 months from that payment the rate is the one of the tier you hold on the day each payment succeeds. For the next 12 months the rate is 10% at each tier. Commission is earned for 24 months from that first payment, and after that period no commission is earned on that customer, however long the customer stays.
A free trial, an invoice of zero and a sign-up that has not paid earn no commission and do not start the period. The period does not start again when the customer pauses, cancels, is refunded, changes plan or changes email address.
3.4 Tiers
FirstPromoter moves you between tiers by itself, on its live count of your active clients. You reach a tier when the count reaches the threshold in the table in section 3.1, and you move down again when the count falls below the threshold of your tier. The move follows the count as it changes: it is not made at the end of a month, and no notice period applies.
An active client is a customer referred to you whose subscription to a plan on which commission is paid (section 3.2) FirstPromoter records as active. FirstPromoter counts a subscription as active until it records a cancellation, so a subscription with a failed payment, or one that is paused, still counts until it is cancelled, and a client whose 24-month commission period has ended still counts while the subscription lasts. It counts customers who came by your link and clients who accepted your invitation alike. It does not know whether two accounts belong to one company, so it may count such a company twice. If a client counted for your tier is one that section 3.6 excludes, or the count rests on abuse, we may correct the count and the commission that followed it, including against a later payout.
We set up the program so that the new rate applies to payments that succeed from the day you are moved, including payments of customers you referred earlier: the FirstPromoter campaigns are configured to move your existing referrals with you. Commission already earned is not recalculated, and the rate for months 13 to 24 stays at 10% at each tier. The rate FirstPromoter applies to a payment is the rate that counts; if you think it applied the wrong one, write to support@novixagent.ai.
The number of paying clients on your Partners home page is a guide, not the count that decides your tier. It counts clients you invited, once per client account however many websites the account has, whose base subscription is currently paid and whom acceptance recorded as earning you commission (which leaves out the members and the invitation address of your own company, an account or website address that has paid before, and a client another partner holds), and it keeps counting a client who removed you (section 5.4). It does not apply each rule of section 3.6: it does not tell a member of our staff apart from another client. It does not count customers who came by your link, and it does not know whether two accounts belong to one company. It can therefore differ from the FirstPromoter count, and when it does, the FirstPromoter count decides.
3.5 Refunds and disputes
A full or partial refund, and a dispute the customer wins, reduce the commission on that payment by the same share and at the rate that applied to it. If the commission was already paid, we adjust a later payout. We may hold the commission on a payment while a dispute about it is open.
3.6 Which customers earn commission
Commission is earned on new paying customers only. These customers do not earn it: a customer who was already a paying customer before the referral, a member of our staff, and a purchase you make for yourself or for your own company. A new, independent client of an agency does earn it; the agency's own purchase does not.
We check these rules when we review payouts, and we may refuse or reverse a commission that breaks them. Our systems apply some of them when a client accepts an invitation (section 5.5), but a rule is binding whether or not software applied it.
A customer is credited to one partner. If two partners could claim the same customer, we apply this section and section 4 and decide which partner is credited.
4. Links and attribution
- Marketing cookies. A click on your link is recorded only for a visitor who accepted Marketing cookies on our website, as the Cookie Policy describes. We do not credit a customer who declined them, who pays from another browser or device than the one that followed your link, whose browser blocks the tracking script, or whose cookies were cleared before payment.
- The window. A click is credited when the customer pays within 90 days of it. If a visitor follows the links of several partners, the last eligible click is the one credited.
- Disputes. If you can show that you sent a customer who was not credited, write to support@novixagent.ai within 30 days of the customer's first payment, with your evidence. After checking that no other partner and no earlier paid subscription is involved, we may credit the customer to you by hand.
- Acceptable promotion. You will:
- not refer yourself or your own company, and not buy through your own link or invitation;
- not place your link or its cookie on a visitor's device without the visitor's own action, which includes hidden frames, forced redirects and cookie stuffing;
- not invent discounts, promotion codes or cashback offers, send unsolicited bulk messages, or pose as us;
- not buy advertising on our brand name or its misspellings, and place paid advertising of other kinds only with our written approval;
- disclose, as the advertising rules of your country require and where your audience sees the recommendation, that you earn commission;
- not claim results, features or prices for NovixAgent AI that we have not published;
- not recruit other partners for a reward: we pay no commission for bringing in partners, and the tiers are not a network of levels.
5. Installer partners: demo, clients and access
5.1 The demo
Once approved, you may start demo sites on a fictional business website from a template, on the Partner Demo plan. That plan has a price of zero and collects no card, and it has a smaller monthly question allowance and fewer features than the paid plans. The dashboard shows how many demo sites you may still start in the current period, and we may change your limits.
A demo is for showing prospects what the product does. It is not for production: you do not put a demo on a real business's website, offer it to a client as that client's assistant, or use it to serve real customers. A client who wants the assistant on the client's own website is invited under section 5.2 and pays for the client's own plan. We may end a demo that is used otherwise, and a suspension ends your demo sites (section 6.1). Details a prospect leaves in your demo are personal data that you are responsible for.
5.2 Inviting a client
You invite a client under Partners → Invite a client by typing the client's email address and website domain and choosing a plan to offer. Invite only a client who expects to hear from you: the address you type is a third party's personal data, and you must have a legitimate reason to give it to us. We limit the invitations you may have waiting for an answer and the mail one address receives, and we may change those limits.
Schedule a demo meeting is offered on the confirmation after you send an invitation, on each invitation that is still waiting for an answer, and as a button on Your clients that is not tied to a client. It opens a dialog in your dashboard, and no data is passed on while it is open. When you then follow Open in Google Calendar, your browser passes to Google, under your own Google account, the addresses of your live demo sites, the date and time you chose, the time zone of your profile (your device's until your profile holds one) and the event text in the language you chose, and the website domain when a client is named. From the confirmation and from an invitation's row it also passes the client's email address as a guest; the button that is not tied to a client passes no client address and no domain. We do not send these data to Google ourselves, and the invitation goes out only when you save the event there. As with the address you type for the invitation, you must have a legitimate reason to contact that person this way.
No site is created in the client's account until the client accepts. The client signs in or creates an account with the invited address and accepts. Where the account already holds a site for that domain, the client confirms that you join it and the site keeps the plan it has. Otherwise the site is created with no plan, and the client pays NOVIXAGENT for the client's own plan on the client's own card. You do not pay for it. We are the seller of the subscription, we set its price, and you do not collect payment for it, resell it or tell a client that it costs something else.
The fee for your own work of installing and configuring the assistant is agreed between you and your client. The product does not collect it, and we take no part in it. Zoho Invoice is a tool we suggest for invoicing your own clients; it is your own account with its company, and we send it no data.
5.3 Your access as a helper
When a client accepts, you become a helper on the client's account. The invitation tells the client what that includes: seeing leads and choosing where they are sent, adding and editing the knowledge base, seeing the integrations, adding them and changing their settings (but not entering, changing or removing a credential, not changing or removing the webhook address of an integration that holds a stored Authorization header, and not deleting one), getting the install code, changing how the chat looks and which AI templates it uses, seeing analytics, and turning Live Agent on or off and setting its hours. It does not include the client's billing, the client's team, deleting the site or reading the client's chats. What you can open is also limited by the client's plan: a setting that belongs to a feature the plan does not include stays closed to you.
Use that access only for the work the client asked you to do. Keep what you see about the client confidential, and do not share your sign-in. The client controls the data of the client's site, and you act for the client in handling it.
5.4 The client decides
A client may remove you under Team in the client's dashboard whenever the client chooses. Removing you does not cancel the commission on that client.
5.5 Clients registered under you
When a client accepts your invitation, our servers register the client at FirstPromoter under you, so the client needs no link and no cookie. The client is registered only if the client is a new customer: an account or website address that has paid before, an address that is your own, and a client who already accepted another partner's invitation are not registered under you. Section 3 then decides what is paid.
6. Suspension and ending
- Suspension. We may suspend you for a breach of these terms, for suspected fraud or abuse, on a client's complaint, for inactivity or for another reason we judge sufficient. While you are suspended, the demo, clients, invitation and materials parts of the Partners section are closed to you, so you start no demo sites and send no invitations, and you may not describe yourself as an official partner. A suspension also ends your demo sites: we record the cancellation of each demo subscription and repeat it until the payment provider confirms it, and the assistant on a demo site stops answering once its subscription has ended. A demo site that you moved to a paid public plan is paid for on that plan and is not cancelled. We email you when it happens. The email does not give the reason, and you may write to support@novixagent.ai if you think it is a mistake.
- Clients you already have. A suspension does not remove your access to a client's account. We email the owner of each account where you work as a helper, and whether you keep that access is the client's decision under Team. If there is a security incident, we may remove your access to a client's account ourselves.
- Commission during a suspension. The reason of the suspension decides what we ask of FirstPromoter. A suspension for inactivity, a client's complaint or another reason that does not concern the integrity of the program leaves your FirstPromoter record as it is, so commission on customers you already brought continues. A suspension for a breach of these terms or for suspected fraud makes us block you in every campaign at FirstPromoter. We do not control how FirstPromoter treats referrals and commission on a blocked membership, and we do not promise that it keeps recording commission for you. We make payouts by hand, so while we investigate we may withhold commission that is connected with the breach, and any other unpaid commission that is under review, until we have decided. If we reinstate you, we lift a block that we placed. You may dispute a withholding by writing to support@novixagent.ai.
- Leaving. You may leave the program whenever you choose, by writing to support@novixagent.ai. Commission already earned stays payable under section 7.
- Ending the program. We may change or end the program. If we end it and you have not breached these terms, we keep paying commission on the customers you already brought, for the rest of their commission period under section 3.3.
- Changes to these terms. A change to these terms gets a new date at the top. A change that lowers what you earn applies only to customers who first pay at least 30 days after we announce it by email or in the dashboard. If the terms change after you agreed to them, the dashboard tells you and shows the current terms.
7. Payouts and taxes
- Who pays. The customer pays us for the plan, and we pay your commission. The customer, Stripe and FirstPromoter do not.
- Currency and minimum. Commission is paid in US dollars. A balance below $50 carries over to the next payout.
- Timing. Commission earned in a month becomes payable 45 days after that month ends (NET-45). Commission earned in March, for example, is payable 15 May.
- How. We pay by a method that is open in your country, such as PayPal or Wise. You provide your payout details in the FirstPromoter portal, and missing or wrong details delay the payout. We bear our own cost of sending. The fees of your bank or payment provider, currency conversion and taxes are yours.
- Review. We review commission before we pay it, and we may refuse or reverse commission that breaks these terms, for example commission on a purchase you made for yourself.
- Taxes. You are responsible for the taxes on what you earn. We may ask you for tax information, and we may withhold tax where the law requires it.
8. Your data and your clients' data
We are the controller of the data you give us when you apply and take part. FirstPromoter holds it for us as our processor, and our Privacy Policy and Data Processing Agreement say what is sent to it. The periods for which we keep an application that was not approved, an invitation that was not accepted and the record of a demo are in our Data Retention Policy. FirstPromoter also keeps its own copy of the records of your earnings, for its own periods.
When you invite a client you give us the client's email address and domain, and the Privacy Policy says how we use them. The data of a client's site belongs to the client as its controller. Our processing of it for the client is covered by our agreement with the client, and your duties toward the client are in your own agreement with the client.
9. Our name and your conduct
You may use our name and logos only in the way our partner materials allow, and only while your status is approved. You follow the law that applies to your promotion and your work, including consumer-protection, advertising, privacy and anti-spam law. We may suspend you for a breach of this section.
10. Liability and governing law
To the extent the law allows, we are not liable for loss of expected commission, clients, projects or profit that results from a change to the program, from a suspension under these terms or from an interruption of the service, and our liability to you under these terms is limited to the commission you have earned and not yet been paid. Sections 8 and 11 of our Terms of Service on limitation of liability and governing law apply to these terms too. Rights you hold under mandatory law remain.
